Position: Company Secretary
Location: KL
RESPONSIBILITIES:
• Assume statutory duties and responsibilities as defined in the Companies Act, 1965
• Independently oversees and manage the overall corporate secretarial functions in Malaysia.
• Provide advice to directors and management on company secretarial related matters.
• Draft and circulate Board resolutions for directors’ signatures in order to secure approvals to implement policies or proposals within the timeframe set by management.
• Ensure all returns and documents required to be lodged with the Companies Commission of Malaysia (CCM) are properly prepared and lodged within the deadlines.
• Organise and prepare notice and agendas for board meetings and record the proceedings of meeting and follow-up on decision made.
• Keeping and maintaining proper statutory books, register books and secretarial files of the companies and ensure all company information/documents recorded/kept therein are up-to-date.
• Supervise the movement of company’s share capital generally, including preparation of share allotment letters and documents including advising the fees payable to CCM for registration of increase in share capital, issuance of share certificates; and handling share transfers and advising stamp duty payable per transfer including eligibility to apply for stamp duty relief under Section 15A of the Stamp Act 1949.
• Countersign essential company documents and certifying statutory documents required by external parties such as government bodies, banks, auditors and etc. upon request and ensure the documents represent the exact copies found in the statutory books, registers and secretarial files of the company.
• Ensure safe custody of common seal and ensure affixation of common seal on documents is within the authority of the Board and in accordance with the respective companies’ Articles of Association.
• Liaising with external regulators and advisers such as CCM, Inland Revenue Board, external lawyers, external company secretary and auditors in the discharge of duties.
REQUIREMENTS:
• Candidate must possess at least Diploma/Advanced/Higher/Graduate Diploma, Bachelor’s Degree/Post Graduate Diploma/Professional Degree/Associate Member of the Malaysian Association of the Institute of Chartered Secretaries and Administrators (MAICSA) OR Licensed Secretary
• At least 3.5 Year(s) of working experience in the related field is required for this position.
• Preferably Senior Executive specialized in Secretarial/Executive & Personal Assistant or equivalent.
• Good knowledge of Companies Act and relevant legislations
• Good command in English, Bahasa, Mandarin or Cantonese ( MUST )
• Must have Experience working in Public Listed Companies
